1. Acceptance of Terms

By creating an account or using Mercon services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our services.

2. Description of Service

• Mercon provides an AI-powered CRM platform that includes:
• AI assistant for customer communications across multiple channels
• Product catalog and inventory management
• Order processing and tracking
• Integration with messaging platforms (Instagram, Telegram, etc.)
• Analytics and reporting tools

3. Account Registration

• You must provide accurate and complete information during registration.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old to create an account.
• One person or business may not maintain multiple free accounts.
• You are responsible for all activities that occur under your account.

4. Acceptable Use

• You agree not to use Mercon to:
• Violate any applicable laws or regulations
• Send spam or unsolicited messages
• Distribute malware or harmful content
• Impersonate others or misrepresent your affiliation
• Attempt to gain unauthorized access to our systems
• Use the service for any illegal or fraudulent purposes

5. Payment Terms

• Merchant of Record: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By purchasing a subscription, you also agree to Paddle's Buyer Terms.
• Subscription fees are billed in advance on a monthly or annual basis.
• Free Trial: New accounts receive a 14-day free trial with full access to the selected plan. No payment is required during the trial. You may cancel at any time before the trial ends without being charged.
• Auto-Renewal: After the trial period or at the end of each billing cycle, your subscription automatically renews at the then-current rate unless you cancel before the renewal date.
• Cancellation: You may cancel your subscription at any time. Upon cancellation, your plan remains active until the end of the current paid period. No prorated refunds are issued for partial billing periods.
• Refund Policy: Refund requests are reviewed on a case-by-case basis. See our dedicated Refund Policy at mercon.app/refund for full details, including eligibility criteria and the refund process.
• We reserve the right to change pricing with 30 days advance written notice. Price changes do not apply to the current billing period.
• Failure to pay may result in suspension or termination of your account.
• You are responsible for any applicable taxes. Sales tax, VAT, and other transaction taxes are handled by Paddle as Merchant of Record.

6. Intellectual Property

Mercon and its original content, features, and functionality are owned by Mercon and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of your data and content uploaded to the platform.

7. Data and Content

• You retain all rights to your data uploaded to Mercon.
• You grant us a license to use your data solely to provide our services.
• You are responsible for ensuring you have rights to any content you upload.
• We may remove content that violates these terms or applicable laws.

8. Support Access

• Customer grants Mercon a non-exclusive, limited license to access and use Customer's account as necessary to provide technical support, troubleshoot issues, and maintain the Services.
• All support access sessions are time-limited (maximum 1 hour), scope-restricted (no billing, password, or account deletion changes), and recorded in an immutable audit log.
• Only designated platform administrators may initiate support access. This capability is not available to general staff.
• Mercon shall not be liable for delays or disruptions arising from actions taken in good faith during authorized support sessions.

9. Third-Party Integrations

Our service integrates with third-party platforms (Meta, Telegram, etc.). Your use of these integrations is also subject to the respective third-party terms of service. We are not responsible for third-party services.

10. AI-Generated Content Disclaimer

• Mercon uses artificial intelligence to generate responses, product recommendations, and assist with sales conversations.
• AI outputs may contain errors, inaccuracies, or biases. You acknowledge that AI-generated content should not be treated as professional, legal, financial, or medical advice.
• You are responsible for reviewing and verifying AI-generated outputs before relying on them for business decisions.
• Mercon does not guarantee the accuracy, completeness, or reliability of any AI-generated content.
• We do not use your business data to train our AI models for other customers. Your data is processed solely to provide the service to you.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect availability. We are not liable for any downtime or service interruptions.

12. Limitation of Liability

To the maximum extent permitted by law, Mercon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. This includes, without limitation, damages arising from AI-generated content, automated decisions, or integration failures with third-party services.

13. Termination

• You may terminate your account at any time through your account settings.
• We may suspend or terminate accounts that violate these terms.
• Upon termination, your right to use the service ceases immediately.
• You may export your data before termination. We provide data export functionality to support your right to data portability.
• We may retain certain data as required by law or for legitimate business purposes for up to 90 days after termination.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the platform at least 30 days before they take effect. Continued use after changes constitutes acceptance of the new terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions. For users in the European Union, nothing in these Terms affects your statutory rights under applicable EU consumer protection laws, including the GDPR.
